Over the ensuing years, a numberof "GlobalSource" corporations were formed to serve emerging markets
Additionally, a numerical series of "GlobalSource" corporations were
formed to keep pace with the rapid expansion of the business and the need to include
additional shareholder equity for key players in the organization. The Wisconsin Department of
Financial Institutions website contains a complete listing of the formation and dissolution of a
number of "GlobaISource" corporations. Some of those corporations continue for particular
market purposes.

It is important to note that the "GlobalSource" corporations are all sister organizations and
share common ownership. In view of the rapid expansion of the business, and the now
apparent nationwide nature of our operations, the shareholders and officers of the
corporations have determined that business shall be conducted nationwide under the
corporation known as GlobalSource, Inc. (39-2000601). As such, we are engaged in an
assignment of contracts and/or the renewal of contracts under this corporate name.
Importantly, there is a continuity of common ownership' and the underlying operations
continue uninterrupted with the same staff members delivering services.

Currently, GlobalSource IT, with its affiliates (GlobalSource IT III, GlobalSource IT II, WiseChoice IT, etc), are in the business of providing ERP/CRM, BI, and high level “niche IT” consulting and staff augmentation services.
